SUBCONTRACT AGREEMENT 

 

This Subcontract Agreement (the ‘Agreement’) is made effective this (DATE)

AND:

Subcontractor: 

 

  1. In this agreement, the Subcontractor shall provide to the Contractor his services, labour and all the necessary equipment needed for plumbing and heating work in the jobs assigned to them. 
  2. The Contractor shall perform all plumbing work in a professional, timely and high standard manner. The Contractor must offer a 30-day warranty for any fixtures or other materials installed during the project. If a defect in workmanship is discovered, the Contractor will remedy such defect at their sole expense. 
  3. The Subcontractor must have the required qualifications and technical experience to undertake responsibility of such work. 
  4. The Contractor has the right to inspect the property and if he is not satisfied with the work or if the plumbing work is not finished on time, he has the right to terminate the contract. 
  5. The Subcontractor shall give a minimum of three hours’ notice if they cannot attend a job they have accepted and find a suitable like for like replacement if required. 
  6. The Subcontractor is to notify the contractor if there are any hazardous change made ensuring the safety. 
  7. The subcontractor is not to discuss fees with third parties unless authorised to do so, if this comes to the Contactor attention this then forfeits the fee payable to the Subcontractor. 
  8. In consideration of Subcontractor’s performance of this Subcontract, and at the times and subject to the terms and conditions hereinafter set forth, Contractor shall pay to Subcontractor the total sum of quoted amount, hereinafter ‘subcontract price’ Said subcontract price is dependent upon the conditions set forth in this agreement being met. Should said conditions not be met, the subcontract amount shall be modified accordingly. 

 

Contractor: 

 

  1. The Contractor agrees payment 14 days after completion of works. 
  2. The Subcontractor is under no obligation to accept works given by the Contactor. 
  3. The Contractor treats all Subcontractors equality and according to the Equality Act 2010.  
  4. All Subcontractors will have the equal opportunity to works and first to confirm is allocated the works. 
  5. The Subcontractor will be provided details once confirmation has taken place. 
  6. The Subcontractor is given a pre quoted and evaluated job price. 

 

Confidentiality: Non-disclosure Agreement  

 

  1.  Scope of Agreement  

This agreement acknowledges that certain confidential information, trade secrets and proprietary data (hereinafter defended and referred to as ‘Confidential Information’) of or regarding the Company or may be discussed between the Subcontractor and the Contractor (hereinafter known collectively as the ‘Parties”). The provisions set forth in this Agreement define the circumstances in which the Subcontractor can and cannot disclose Confidential Information, and include the remedies, penalties and lawful action the Contractor may take should such information be used or disclosed by the Subcontractor. Both parties agree that it is in their best interests to protect the Company’s Confidential Information, and that the terms of this Agreement create a bond of trust and confidentiality between them. In consideration of Subcontractors acceptance of work from the Contractor, or continued work with the Company, the Parties agree as follows: 

 

  1. Confidential Information  

 

A. Definitions. Confidential Information is any material, knowledge, information and data (verbal, electronic, written or any other form) concerning the Company or its businesses not generally known to the public consisting of, but not limited to, inventions, discoveries, plans, concepts, designs, blueprints, drawings, models, devices, equipment, apparatus, products, prototypes, formulae, algorithms, techniques, research projects, computer programs, software, firmware, hardware, business, development and marketing plans, merchandising systems, financial and pricing data, information concerning investors, customers, suppliers, consultants and employees, and any other concepts, ideas or information involving or related to the business which, if misused or disclosed, could adversely affect the Company’s business.  

 

B. Exclusions. For the purposes of this Agreement, information shall not be deemed Confidential Information and the Subcontractor shall have no obligation to keep confidential if: 

 

(i)              the information was publicly known; 

 

(ii)             the information was received from a third party not subject to the restrictions of this Agreement and becomes available to subcontractor through no wrongful act or breach of Agreement on their part; or 

 

(iii) the information was approved for release by the Contractor through written authorisation. 

 

Anti-Money Laundering 

 

The Subcontractor must ensure that they comply with the anti-money laundering regulations. The UK anti-money laundering regime requirements are set out in the Proceeds of Crime Act 2002 (POCA) (as amended by the Serious Organised Crime and Police Act 2005 (SOCPA)), the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (MLR 2017) and the Terrorism Act 2000.

  

Damages/Liability 

 

The Contractor - Accepts no liability for any damage or theft at the property whist the Subcontractor works. The Contractor recommends that the Subcontractor considers all aspects of security, insurance cover against possible damage or claim that may occur during such periods.
